Terms and Conditions.

Please read these terms carefully before using KoBank. They explain the rules for our app, website, wallet, savings, group savings, learning content, and investment-access features.

These terms are provided as a product-ready draft and should be reviewed by KoBank’s legal counsel before publication or reliance.

1. Introduction

These Terms and Conditions govern your access to and use of KoBank, including the KoBank mobile application, website, wallet, savings features, group savings plans, investment access, learning content, notifications, support channels, and any related services we provide.

By creating an account, using KoBank, joining a savings plan, subscribing to an investment offer, or continuing to access the platform after these terms are updated, you agree to be bound by these terms. If you do not agree, you should not use KoBank.

2. About KoBank

KoBank is a financial education, savings, wallet, and investment-access platform built for everyday Africans. We help users set goals, save consistently, participate in fixed-term group savings plans, learn about money, and access selected investment opportunities through appropriate product structures.

KoBank may work with licensed banks, payment processors, custodians, trustees, investment partners, identity-verification providers, and other regulated or technical service providers. Where a third party provides a regulated service, that service may also be subject to the third party’s own terms and policies.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use KoBank. By using KoBank, you confirm that the information you provide is accurate, complete, and not misleading.

Some features are available only after completing the required KYC tier. Tier 2 KYC is required to access investment products and group savings. Tier 3 KYC may be required for higher wallet limits, balance-cap removal, or any product that requires additional verification.

4. Account Registration and Security

You are responsible for maintaining the confidentiality of your login details, device access, PIN, biometric access, and any one-time passwords or authorisation codes used on KoBank.

You must notify KoBank immediately if you suspect unauthorised access to your account, SIM swap activity, device compromise, mistaken transactions, fraud, or any security issue. We may restrict your account while we investigate a security concern.

5. Identity Verification and Compliance

KoBank may request and process identity information such as your name, phone number, date of birth, BVN, NIN, government-issued ID, selfie or liveness check, proof of address, source-of-funds information, and other documents required for KYC, AML, fraud prevention, sanctions screening, transaction monitoring, or regulatory compliance.

We may decline onboarding, limit access, suspend transactions, reverse unsupported activity where lawful, or close an account if verification fails, information is inconsistent, fraud is suspected, or a regulator, partner, court, or law-enforcement body requires action.

6. Wallets, Funding, Transfers, and Withdrawals

Your KoBank wallet may be funded through supported payment channels and used for eligible KoBank services. Wallet activity is subject to applicable KYC limits, partner-bank limits, payment-processor rules, transaction monitoring, downtime, settlement timelines, and security checks.

You are responsible for confirming transaction details before authorising a payment, transfer, withdrawal, savings contribution, group savings contribution, or investment subscription. We are not responsible for losses caused by incorrect account details, unauthorised disclosure of credentials, or instructions you validly authorise.

7. Savings Products

KoBank may provide flexible savings, goal savings, locked savings, auto-debit rules, group savings, and similar savings tools. Wallet balances that are not placed into an eligible savings, group savings, lock, or investment product do not earn returns. Rates, fees, limits, maturity dates, lock conditions, withdrawal rules, and penalties may vary by product and may change subject to applicable notice or product terms.

Interest projections, expected balances, timelines, and progress indicators are for guidance unless the product screen clearly states otherwise. Final credited amounts may depend on actual deposit timing, withdrawals, penalties, partner rules, tax treatment, and applicable product terms.

8. Group Savings

KoBank group savings plans are fixed-term contribution cohorts. They are not rotating payout schemes. Where you join a plan, you choose a monthly amount at or above the plan minimum, contribute from your wallet, and receive principal plus any applicable time-weighted interest at maturity, subject to the plan terms.

If you miss a contribution, disable auto-debit, leave a plan, or request an early exit, your access, expected payout, interest, refund timing, or continued participation may be affected by the plan rules shown before you join.

9. Investment Products and Risk

Investment products available through KoBank may include private notes, commercial paper, fixed-tenor instruments, or other products offered through appropriate regulatory, issuer, trustee, custodian, or partner structures. KoBank does not guarantee that any investment will be profitable or repaid on time.

Investments carry risk. Capital is at risk. Returns are not guaranteed. Past performance does not guarantee future returns. Investment products are not bank deposits and are not NDIC-insured unless a specific product document expressly states otherwise. You should read each offer memorandum, risk disclosure, issuer information, tenor, minimum subscription, fees, and maturity terms before subscribing.

10. Learning and Devotional Content

KoBank learning content is provided for education and financial-literacy purposes. It is not financial, investment, tax, accounting, legal, pastoral, or professional advice. You should make independent decisions and seek professional advice where appropriate.

Devotional or faith-rooted content is opt-in. KoBank’s financial products are available without requiring users to engage with faith-based content.

11. Fees, Charges, Taxes, and Interest

KoBank or its partners may charge fees for selected services, including transfers, card or payment processing, early withdrawal, investment subscription, custody, management, administrative services, or other platform features. Applicable fees should be shown before you complete the relevant transaction where required.

You are responsible for taxes, levies, duties, or deductions that apply to your transactions, savings interest, investment returns, payouts, or account activity.

12. Acceptable Use

You must not use KoBank for fraud, money laundering, terrorist financing, illegal gambling, market abuse, identity theft, unauthorised access, sanctions evasion, deceptive activity, harassment, intellectual-property infringement, or any activity that violates applicable law, partner rules, or these terms.

You must not attempt to bypass security controls, reverse-engineer the platform, overload our systems, scrape restricted data, create accounts with false information, sell or transfer your account, or use KoBank for business activity we have not approved.

13. Data Protection and Privacy

KoBank processes personal data in line with applicable data-protection laws, including Nigerian data-protection requirements where applicable. Our Privacy Policy explains what information we collect, why we collect it, how we use it, who we share it with, and the choices available to you.

By using KoBank, you consent to the collection, use, verification, storage, transfer, and processing of your data for onboarding, service delivery, compliance, fraud prevention, analytics, support, product improvement, and other lawful purposes described in our Privacy Policy.

14. Intellectual Property

KoBank, our logos, product names, interface designs, software, copy, graphics, content, databases, and platform materials are owned by KoBank or licensed to us. You may not copy, modify, distribute, sell, sublicense, create derivative works from, or misuse our intellectual property without written permission.

You retain ownership of information you lawfully provide to us, but you grant KoBank the rights needed to process, display, store, verify, and use that information to operate the platform and provide services to you.

15. Service Availability and Third Parties

We aim to keep KoBank available and reliable, but we do not guarantee uninterrupted access. Downtime may occur because of maintenance, network issues, partner downtime, banking-system delays, payment-processor errors, regulatory actions, security incidents, or events beyond our control.

Some KoBank features depend on third-party providers. We are not responsible for third-party systems, policies, delays, outages, or decisions, except to the extent required by applicable law.

16. Suspension, Restrictions, and Account Closure

We may suspend, restrict, freeze, or close your account, delay or decline transactions, or require additional information where necessary for security, compliance, risk management, partner requirements, regulatory obligations, suspected misuse, or breach of these terms.

You may request account closure, but we may retain records or delay closure where required to complete pending transactions, comply with law, resolve disputes, investigate fraud, or meet regulatory obligations.

17. Disclaimers and Limitation of Liability

KoBank is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim warranties that the platform will always be error-free, uninterrupted, secure, or suitable for your specific financial goals.

To the fullest extent permitted by law, KoBank will not be liable for indirect, consequential, punitive, special, or incidental loss, loss of profit, loss of data, business interruption, market movement, issuer default, unauthorised access caused by your negligence, or losses caused by third-party systems or events beyond our reasonable control.

18. Indemnity

You agree to indemnify and hold KoBank, our directors, employees, partners, agents, affiliates, and service providers harmless from claims, losses, damages, liabilities, costs, and expenses arising from your breach of these terms, misuse of KoBank, violation of law, infringement of another person’s rights, or information you provide to us.

19. Complaints and Dispute Resolution

If you have a complaint, contact KoBank support through the in-app support channel or any official channel published by KoBank. We may request account details, transaction references, screenshots, or identity checks to resolve your issue.

These terms are governed by the laws of the Federal Republic of Nigeria, unless another jurisdiction is mandatorily applicable. The parties will first attempt to resolve disputes amicably. If unresolved, disputes may be referred to mediation, arbitration, regulator-supported resolution, or a competent court as applicable.

20. Changes to These Terms

We may update these terms from time to time to reflect product changes, partner requirements, legal obligations, risk controls, or operational updates. The latest version will be published on our website or app.

Where required, we will provide notice of material changes. Continued use of KoBank after an update means you accept the updated terms.
